End User License Agreement (EULA)

This Agreement is the End-user Software Licensing Agreement ("Agreement") between You (an individual, company, or any other entity) and EffectiveFX governing your use of this Software. By installing and using this Software, you agree that you have read, understood, and agreed to this EULA.

1 - Permitted Use

1.1 - Subject to the terms of this Agreement, EffectiveFX grants you a nonexclusive, nontransferable, revocable license to process audio data using the Software.

1.2 - You are not permitted to lease, rent, sublicense, publish, copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Software without written permission from EffectiveFX. Nor are you permitted to attempt exporting the source code or underlying audio processing algorithm without such written permission.

2 - Termination Conditions

This Agreement is effective from the first date You install this Software. You may terminate this Agreement at any time by fully deleting or destroying the Software on your own volition. EffectiveFX may terminate this Agreement at any time without notice if you fail to comply with any terms or conditions of this Agreement. Once it is terminated, you must stop using this Software and fully delete or destroy it and all its associated materials. Sections 1, 3, 4 and 5 shall remain effective after the termination of this Agreement.

3 - Warranties and Disclaimers

3.1 - You acknowledge the Software is provided "as is" without warranty of any kind, to the maximum extent permitted by law. You assume all responsibility and risk for the selection, installation, and use of the Software.

3.2 - To the maximum extent permitted by law, EffectiveFX and any affiliates shall not be liable for any damages resulting from the possession, use, or malfunction of the Software.

3.3 - To the maximum extent permitted by law, EffectiveFX and its affiliates's liability for all damages shall not exceed the actual price paid for by you for the use of this Software.

4 - Intellectual Property

All title, ownership rights, and intellectual property rights in the Software are owned by EffectiveFX or its licensors and protected by national and international law. This Agreement confers no title or ownership of the Software or its underlying audio processing algorithm.

5 - Governing Law

This Agreement is entered in, and shall be governed by, the US State of Maryland. You and EffectiveFX agree to submit to the exclusive jurisdiction of the state and federal courts in Baltimore City, Maryland, to the maximum extent permitted by law.
